4. Payment Terms
Services may be offered as one-time projects or ongoing subscriptions.
All payments are processed securely via Stripe or by invoice, as agreed.
No refunds will be provided unless previously agreed in writing.
Clients are responsible for maintaining valid payment information and ensuring timely payments.
Growgent reserves the right to suspend or terminate access for non-payment.
5. User Responsibilities
You agree to use our Services lawfully and ethically. You may not:
Use AI tools to create, distribute, or promote illegal, harmful, or deceptive content.
Use our systems to spam, impersonate others, or collect unauthorized data.
Infringe upon intellectual property or data privacy rights of others.
Attempt to reverse-engineer, resell, or replicate Growgent’s proprietary systems.
Violations may result in immediate suspension or termination of your access.
6. Company Rights
Growgent reserves the right to:
Modify, suspend, or discontinue parts of the Services with reasonable notice.
Update pricing, terms, or functionality, provided notice is given to affected clients.
Terminate access for violations, misuse, or non-payment.
Refuse service to anyone for legitimate business reasons.
7. Ownership & Intellectual Property
Growgent retains full ownership of all proprietary systems, AI tools, software, and design frameworks created or provided through our Services.
Clients retain ownership of their own content, data, and AI-generated outputs created through the use of our Services.
Growgent grants clients a non-exclusive license to use our AI systems and integrations solely for their business use.
Clients may not resell, distribute, or claim ownership of Growgent’s systems or frameworks.
8. AI Output Disclaimer
While Growgent’s AI systems are designed for accuracy and continuous improvement, AI-generated outputs may contain errors, inaccuracies, or unintended content.
Growgent continuously monitors system performance and enhances accuracy as part of its service commitment.
However, clients are responsible for reviewing all AI outputs before relying on or publishing them.
Growgent shall not be liable for any loss, damages, or claims resulting from reliance on AI-generated content.
9. Limitation of Liability
To the fullest extent permitted by law:
Growgent’s total liability for any claim arising under these Terms shall be limited to the total amount paid by the client in the preceding six (6) months.
Growgent shall not be liable for indirect, incidental, or consequential damages, including loss of profits, revenue, or data.
10. Data Privacy
All data handling follows Growgent’s Privacy Policy, available at www.growgent.dev/privacy.
Growgent uses secure encryption, trusted third-party providers, and GDPR-compliant data practices to protect user information.
11. Termination
Clients may cancel their subscription or request termination at any time.
Growgent may suspend or terminate access immediately for violations, misuse, or non-payment.
Upon termination, access to all systems and integrations will cease, but data export requests will be honored within applicable limits.
12. AI Fair Use & Ethical Guidelines
Clients agree not to use Growgent’s systems or AI tools for:
Spamming, deceptive marketing, or creating fake reviews.
Generating discriminatory, harmful, or unethical content.
Reselling AI systems or redistributing Growgent’s proprietary solutions.
Exceeding agreed API or automation usage limits.
Violation of these conditions may result in immediate termination without refund.
13. Governing Law & Dispute Resolution
These Terms are governed by Portuguese law.
Any disputes shall be resolved through good-faith negotiation, and if unresolved, through the courts of Lisbon, Portugal.
Growgent may alternatively propose arbitration for faster resolution, subject to client agreement.
14. Changes to These Terms
We may update these Terms occasionally to reflect improvements or legal requirements.
All updates will be posted on our website with an updated “Effective Date.”
Continued use of the Services after changes constitutes acceptance of the revised Terms.
